1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Muverity LLC ("Company," "we," "us," or "our") concerning your access to and use of the ReadyGDPR platform ("Service," "Platform," or "ReadyGDPR").

By accessing or using ReadyGDPR, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Service Description

ReadyGDPR is a comprehensive privacy compliance platform that provides:

• Virtual DPO Services: AI-powered Data Protection Officer guidance and support
• Compliance Management: Tools for GDPR and CERT-In compliance
• Documentation Generation: Automated creation of compliance documents and policies
• Data Mapping: Tools for data flow visualization and processing activities
• Vendor Management: Third-party vendor compliance tracking
• Breach Management: Incident response and breach notification tools
• DSAR Portal: Data subject access request management

2.1 Not an Appointed Data Protection Officer

ReadyGDPR is software, not an appointed Data Protection Officer. The "Virtual DPO" features are software tools that help you and your staff carry out data protection work; they are not a designated person under Articles 37 to 39 of the GDPR or any equivalent provision of another framework. Where Article 37 requires you to appoint a Data Protection Officer, that appointment remains your obligation, and ReadyGDPR helps that person do the job rather than replacing them. Nothing in these Terms, and no feature of the Service, discharges any statutory obligation to designate, publish the contact details of, or involve a Data Protection Officer.

Important: ReadyGDPR is a compliance tool and does not constitute legal advice. We are not a law firm, and use of our Service does not create an attorney-client relationship. For specific legal advice, please consult with a qualified attorney.

3. Account Registration and Responsibilities

3.1 Account Creation

To use ReadyGDPR, you must create an account by providing accurate, complete, and current information. You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent and warrant that you meet these requirements.

3.3 Business Accounts

If you register on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you and that organization.

4. Subscription Plans and Billing

4.1 Subscription Tiers

ReadyGDPR offers multiple subscription plans with varying features and pricing. Current plans and pricing are available at /pricing. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Billing Cycles

• Monthly Subscriptions: Billed monthly on the date of initial subscription
• Annual Subscriptions: Billed annually with discounted pricing
• Free Tier: Available with limited features, no billing required

4.3 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method for recurring subscription fees. You agree to:

• Provide valid payment information
• Update payment information as needed
• Pay all fees when due
• Be responsible for any taxes applicable to your subscription

4.4 Free Plan and Refund Policy

We offer a free plan so you can evaluate whether ReadyGDPR is right for your organization before you pay. Because of this free plan, paid subscriptions are non-refundable.

If you're not satisfied with a paid plan, you can cancel anytime and switch back to the free plan. We're confident the free plan provides ample opportunity to make an informed decision before committing to a paid subscription.

4.5 Cancellation and Downgrading

You have complete flexibility with your subscription:

• Cancel anytime: Through your account settings or by emailing [email protected]
• No cancellation fees: Zero penalties or hidden charges
• Access until period ends: Continue using paid features through the end of your current billing cycle
• Automatic downgrade: Your account automatically reverts to the free tier when your billing period ends
• Export your data: Download all documents and compliance records before canceling (recommended)
• No partial refunds: Unused portions of subscription periods are non-refundable

We recommend exporting your compliance documentation before cancellation to maintain your records.

5. User Content and Data Ownership

5.1 Your Data

You retain all rights, title, and interest in and to the data, content, and information you submit to ReadyGDPR ("Your Data"). You grant us a limited license to use, store, and process Your Data solely to provide the Service.

5.2 Data Accuracy

You are responsible for the accuracy, quality, and legality of Your Data. You represent that you have all necessary rights and permissions to submit Your Data to our Service.

5.3 Data Export

You may export Your Data at any time through the platform's export functionality. Upon termination, you have 30 days to export Your Data before it may be permanently deleted.

6. Intellectual Property Rights

6.1 Platform Ownership

ReadyGDPR, including all software, design, text, graphics, and other content (excluding Your Data), is owned by Muverity LLC and protected by intellectual property laws. All rights not expressly granted are reserved.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use ReadyGDPR for your internal business purposes, subject to these Terms.

6.3 Restrictions

You agree not to:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove or alter any proprietary notices
• Use the Service to develop a competing product
• Rent, lease, sell, or sublicense access to the Service

7. Acceptable Use Policy

You agree not to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights of others
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) without authorization
• Impersonate any person or entity
• Harass, abuse, or harm other users
• Use the Service for any illegal or unauthorized purpose
• Circumvent usage limits or access restrictions

8. Service Availability and Modifications

8.1 Uptime

We strive to maintain 99.5% uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.

8.2 Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will provide reasonable notice for material changes affecting paid subscribers.

8.3 Support

Support availability varies by subscription tier. Free tier users receive community support, while paid subscribers receive priority email support and access to our virtual DPO assistant.

9. Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Legal Advice

ReadyGDPR provides compliance tools and resources but does not provide legal advice. We do not warrant that use of our Service will ensure compliance with any laws or regulations. You should consult legal counsel for advice specific to your situation.

9.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MUVERITY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Muverity LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of any applicable laws or third-party rights
• Your Data or use of the Service
• Your negligence or willful misconduct

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Muverity LLC is registered, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11.3 Class Action Waiver

You agree that any proceedings to resolve disputes will be conducted on an individual basis and not as a class, consolidated, or representative action.

12. Termination

12.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Termination does not relieve you of payment obligations for the current billing period.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

• You violate these Terms
• Your payment fails or your account is past due
• We are required to do so by law
• Your use poses security risks or harms other users
• We discontinue the Service

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We will provide access to export Your Data for 30 days, after which it may be permanently deleted. Sections that by their nature should survive termination shall survive.

13. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at /privacy-policy. By using the Service, you consent to our Privacy Policy.

We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure. You are responsible for maintaining the confidentiality of your account credentials.

14. Third-Party Services and Integrations

ReadyGDPR may integrate with or provide links to third-party services. Your use of third-party services is subject to their terms and privacy policies. We are not responsible for third-party services, their availability, or their practices.

Third-party integrations include payment processing (Stripe), authentication services, and AI services for our Virtual DPO functionality.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via:

• Email notification to your registered email address
• Prominent notice on the platform
• Updated "Last Updated" date on this page

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use and may cancel your subscription.

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Muverity LLC regarding the Service and supersede all prior agreements and understandings.

If any provision is found unenforceable, the remaining provisions shall remain in full effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
